STRUCTURE OF THE HEARTH CENTRE (Horsley) LTD

The Hearth is a Company Limited by Guarantee with Charitable Aims Registered in England Companies House 4929060, our Charity Commission Number 11066143. 

 

Our Governance requires us to have Members who can control changes to the constitution and make other fundamental decisions relating to the Company such as the composition of the Board of Directors, winding up of the Company, and the appointment of auditors. 

 

Membership of the Company enhances Board transparency and accountability. Members can make a useful contribution to the running of the Company, adding value via diversity of opinion.

 

THE MEMBERSHIP MODEL

A Member is an individual who meets the criteria for becoming a member set out in the Articles of Association and therefore has the ability to affect the governance of the Trust by voting at the Trust’s Annual General Meeting (AGM).

 

IN APPLYING FOR MEMBERSHIP A MEMBER MUST:

  • Agree to be bound by its Memorandum of Association (1106143).

  • Commit to acting in the best interests of the Charity and its beneficiaries.

  • Demonstrate active commitment and engagement with the Charities vision, mission and values, as outlined on the Charity Commission website Charity No: 1106143.

  • Demonstrate their eligibility in accordance with The Hearth membership policy.

 

MEMBERS RIGHTS AND OBLIGATIONS:

  • Members have rights and obligations by virtue of their Membership.

  • They are responsible for: Acting in the best interests of the Company, Supporting the vision, mission and values of the Company.

  • Voting Membership.

 

USING VOTING RIGHTS IN THE BEST INTERESTS OF THE CHARITY:

  • Attending the Annual General Meeting (AGM).

  • Abiding by decisions that are taken fairly and within the rules of the Charity.

  • Endorsing the accounts, annual report and auditor’s report for the financial year following approval by the Board.

  • Considering and approving the appointment of Trustees to the Board following approval by the Board.

  • Considering and approving the appointment of the auditors following approval by the Board.

  • Considering and approving constitutional changes including changes to the Articles of Association.

  • Approving minutes of previous Annual General Meetings.

  • Transacting any other business specified in the notice convening the Annual General Meeting.
